Maintenance Addendum

Version 1.0 (last updated July 10, 2025)

This Agiloft Maintenance Addendum (“Maintenance Addendum”) describes Agiloft’s approach to maintaining and improving its Subscription Services. Capitalized terms not defined in this Maintenance Addendum will have the meanings set forth in the Agiloft Support Addendum and Agiloft Services Agreement. Agiloft may update this document from time to time by posting updated terms at: https://www.agiloft.com/terms-policies/maintenance-addendum. Agiloft will provide notice of updates to this document in accordance with the Agiloft Services Agreement

Agiloft Core Platform

In addition to the Support provided to Agiloft customers, the Agiloft Core Platform receives maintenance on a monthly basis (including bug fixes and minor enhancements that will not require user change management or training) with new release versions (numbered sequentially in whole numbers as Release 1, 2, 3, etc.) which include new functionality and material enhancements typically made available on a quarterly basis. Agiloft maintains a calendar of Scheduled Maintenance for the Agiloft Core Platform in the Agiloft Community Agiloft will use reasonable efforts to give customers thirty days prior notice of a new release version and reasonable advanced notice of other maintenance to be performed.

Agiloft provides Support for the current and immediately prior release version of the Agiloft Core Platform. While Single Tenant customers may reschedule maintenance, Agiloft is not responsible for any defects in the Subscription Service where such defects could be resolved by the customer having updated to the most current maintained version of the Agiloft Core Platform. Staying current is crucial for Agiloft customers to take full advantage of the latest innovations and to get the highest levels of security, availability, and performance.

Connected Services

Connected Services, such as Screens and Ask AI, are updated on a more frequent basis. Connected Services, which operate on a continuous delivery model with zero downtime required for most routine maintenance, may be updated without advanced notice for bug fixes, security patches, compatibility adjustments, and to improve performance unless the change materially impacts customers’ use of the Agiloft Core Platform or the overall functionality of the Agiloft Core Platform. All other updates to Connected Services will be made on a monthly basis on the same schedule as maintenance for the Agiloft Core Platform. Agiloft will use reasonable efforts to give customers seven days prior notice of new functionality that materially impacts customers’ use of the Agiloft Core Platform or materially impacts customers’ user experience.

Documentation
