Agiloft, Inc. (“Agiloft”, “we”, “us”) respect your privacy and are committed to protecting it through our compliance with this Privacy Notice. We are sensitive to concerns about how we use and disclose personal information that we may collect from you, whether you are a visitor to our website, user of our services, or attendee at an Agiloft event, or we otherwise become the steward of your personal information. For the purposes of this Privacy Notice, “services” means Agiloft’s Hosted Services, Support Services, Professional Services, the Agiloft Help Wiki and Agiloft Community, and Agiloft applications including Agiloft Contract Assistant for Microsoft Word, Agiloft Contract Assistant for Microsoft Outlook, and Agiloft for Microsoft Teams.

This Privacy Notice is generally intended to describe Agiloft’s practices when Agiloft is acting in its capacity as the controller of personal information that Agiloft collects and uses in conducting its business operations. Agiloft also acts as a processor of personal information on behalf of its customers. While this Privacy Notice covers our privacy practices broadly, please note that this Privacy Notice is not intended to apply to personal information that is processed by Agiloft in performing its contracted-for services for its customers (“Customer Data”). Agiloft will process Customer Data only in accordance with the applicable contact with that customer.  

By using our website or our services, you accept the terms of this Privacy Notice. This Privacy Notice may change from time to time (see “Changes to Our Privacy Notice” section below). Your continued use of this website or our services after we make changes is deemed to be acceptance of those changes, so please check this Privacy Notice periodically for updates.

Personal Information 

For the purposes of this Privacy Notice, “personal information” means personally identifiable information including (i) contact information (such as your name, address, city, state, zip code, phone number, and email address); (ii) financial information (such as your credit card number, expiration date, and verification code or bank account information); and (iii) demographic information (such as your zip code). 


Information We Collect 

Information Provided by You 

We offer the option to voluntarily provide contact information at several different points on our website and through the use of our services. For example, to request a price quote, a demonstration, or to download a report, you must enter some contact information, such as your name, company, email, and telephone number. We may also request additional information (such as job title, website URL, where you heard about our products) that you may voluntarily submit. You may also provide personal information when speaking with Agiloft personnel over the phone or at an event or exchanging written communications (including emails and texts) with Agiloft. You may also provide personal information when setting up an Agiloft account.  

Information We Collect Automatically

As you navigate through and interact with our website or products, we may use automatic data collection technologies to collect certain information about your equipment, browsing actions, and patterns, including traffic data and location data (such as general location inferred from an IP address).  

Agiloft may use the standard cookie feature of major browser applications and third-party providers or employ internally developed cookies, clear GIFs, pixel tags, tracking codes, and other technologies that allow Agiloft to store a small piece of data on a visitor’s computer, or any other device a visitor uses to access Agiloft’s website or services. You can remove persistent cookies by following directions provided in your Internet browser’s “help” directory. If you reject cookies, you may still use our website and services, but your ability to use some areas of our website and services will be limited. 

Information from Other Sources 

We may collect information about you from third parties, such as marketing partners, researchers, and others. We may combine this information with information we collect from you and use it as described in this Privacy Notice. 


How We Use Information 

Personal information that we collect from you is used for our business operations only. For example, personal contact information may be used to contact the individual about the services for which they have expressed interest, and to provide efficient customer and sales support; basic demographic information, and information about how users have heard about our product, may be analyzed by our marketing staff to help us market our products more effectively; website tracking information may be analyzed to gauge the effectiveness of campaigns in terms of numbers of hits and pages viewed.  

Use of Data from Google APIs. Agiloft’s use and transfer to any other application of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements. Agiloft does not share Google user data to third-party tools including AI models.


How We Disclose Information 

We do not sell, rent, or otherwise share any personal information to third parties except as described in this Section.  

We may disclose personal information and other data to businesses controlling, controlled by, or under common control with Agiloft. If Agiloft is merged, acquired, or sold, or if some or all of our assets or equity are transferred, we may disclose or transfer personal information and other data in connection with the associated transactions. Personal information may also be disclosed to companies that provide support services to us or help us market our products and services. These companies may require such information about you to perform their functions in support of our business operations. 

Agiloft has relationships with other companies such as resellers, technology partners, and service partners (“Partners”) to whom we may provide personal information. Partners may work on Agiloft’s behalf to sell and support our products, and these Partners sign agreements with us that include confidentiality obligations regarding information that we share with those Partners. In other words, if we provide personal information to a Partner, that Partner may not share that personal information with any third party and can only use that personal information to sell and support our products.  

We may disclose personal information if we are required by law to do so, such as in response to a subpoena or similar legal process, when we believe in good faith that disclosure is necessary.  

We may also disclose your personal information for any other purpose disclosed by us when you provide the information or with your consent.  


Data Security 

We strive to make certain that our servers and connections incorporate the latest encryption and security devices. We have implemented physical, electronic, and managerial procedures to safeguard and secure the information we collect. Credit card and personal information are transmitted by secure servers (SSL). Unfortunately, no data transmission is guaranteed to be 100% secure and we therefore cannot guarantee the security of information you transmit to or from Agiloft, and you provide this information at your own risk.

Data Retention 

We retain personal information for the period necessary to: provide requested services, as needed to comply with legal obligations (for example, maintaining opt-out lists to fulfill advertising and marketing choices or to comply mandatory record retention or legal hold requirements), as agreed in an individual consent, to resolve disputes, and to otherwise fulfill the purposes, rights and obligations outlined in this Privacy Notice. Retention periods can vary significantly based on the type of information and how it is used and our retention periods are based on criteria that include legally mandated retention periods, pending or potential litigation, our intellectual property or ownership rights, contract requirements, operational directives or needs, and historical archiving.

You may choose not to provide Agiloft with personal information or you may turn off cookies in your browser by changing its settings.

Personal Information of Minors 

Agiloft products and services are for use by businesses. We comply with the Children’s Online Privacy Protection Act in the United States, and similar laws around the world, where applicable. Agiloft does not knowingly collect information from minors without proper consent from a parent or legal guardian. If Agiloft becomes aware of information inadvertently collected from a minor, Agiloft will take prompt steps to delete it from all Agiloft systems. If you believe that we might have information from or about a minor without the requisite consent, please let us know using the methods described the in the “Contact Us” section below. For the purposes of this Privacy Notice, we define a “minor” to mean an individual who is under the age of majority in the territory in which they are resident. 


EEA, Switzerland, and UK Individuals 

Legal Bases for Use of Your Information.  

Our legal grounds for processing your information are as follows: 

  • Much of our processing of personal information is to meet our contractual obligations to our customers, or to take steps at our customers’ request in anticipation of entering into a contract with them.  
  • Where required by law, and in some other cases, we handle personal information on the basis of your implied or express consent. 
  • In many cases, we handle personal information on the ground that it furthers our legitimate interests in commercial activities in ways that are not overridden by the interests or fundamental rights and freedoms of the affected individuals. This includes: operating our business; providing security for our websites, products, software, or applications; marketing; receiving payments; preventing fraud; and knowing the customer to whom we are providing services. 
  • We need to use and disclose personal information in certain ways to comply with our legal obligations (such as our obligation to disclose data to tax authorities). 

Data Subject Rights 

Residents of the European Economic Area (“EEA”), Switzerland, and the UK can exercise certain data subject rights available to them under applicable data protection laws. Where such rights apply, we will comply with requests to exercise these rights in accordance with applicable law. Please note, however, that certain information may be exempt from such requests in some circumstances, which may include if we need to keep processing your information for our legitimate interests or to comply with a legal obligation. If these rights apply to you, they may permit you to request that we: 

  • provide access to and/or a copy of certain information we hold about you; 
  • prevent the processing of your information for direct-marketing purposes (including any direct marketing processing based on profiling); 
  • update information which is out of date or incorrect; 
  • delete certain information which we are holding about you; 
  • restrict the way that we process and disclose certain of your information; 
  • transfer your information to a third-party provider of services; or 
  • revoke your consent for the processing of your information.

Alternatively, you may seek a remedy through local courts if you believe your rights have been breached. 

In instances where we process personal information on behalf of our customer, rights requests should be directed to the relevant customer. Any request sent directly to us that pertains to information collected on behalf of a customer will be forwarded on to that customer. 

International Data Transfers 

Information submitted to Agiloft will be transferred to, processed, and stored in the United States, or for certain customers, the European Union, Australia, the UK, or Canada. If you post or transfer any information to Agiloft, you are agreeing to such information, including personal information, being hosted and/or accessed in the United States, the European Union, Australia, the UK, and Canada. Please note that the privacy laws of the United States, the European Union, Australia, the UK, and Canada may be different from those in the place where you are a resident. 

Where required, we will use appropriate safeguards for transferring data outside of the EEA, Switzerland, and the UK. This includes signing Standard Contractual Clauses that govern the transfers of such data, which may be used in conjunction with additional safeguards. Supplemental Privacy Notice for Residents of Certain States  


California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Montana, Oregon, Tennessee, Texas, Utah, and Virginia have enacted consumer privacy laws that grant their residents certain rights and require additional disclosures (“State Laws”). This Section provides residents of these states information required under the State Laws and serves as our California notice at collection. 

This Privacy Notice describes how Agiloft collects, uses, and discloses information about you to support its business operations. Below, we use a table to explain this same information in accordance with the State Laws. The tables describe our data practices now and over the past 12 months.

  • Legal authorities such as law enforcement to comply with any applicable law or legal process, including lawful requests by public authorities to meet national security requirements;

  • To communicate with you, including to: send messages; ship products and process payments; respond to customer service requests; provide alerts such as security updates or changes in our policies or about subscriptions that are ending; and to send marketing communications and informational materials;

  • For business operations, including: to perform accounting, auditing, billing, reconciliation, and collection activities; for crime or fraud monitoring and prevention, protecting our legal rights, and performing contractual obligations; 

  • For functionality, development, and improvement, such as: to provide network connectivity, measure usage levels, diagnose server problems and provide security features; data analysis related to testing, modifying, improving or developing new products, services, and technologies and to identify trends; 

  • For product updating and reporting; 

  • Other purposes with your consent. 


Privacy Rights 

The exact scope of these rights may vary by state. To exercise any of these rights please refer to the “Contact Us” section below.  

Access, Correction, and Deletion. You have the right to: (1) request to know more about and access your personal information, including in a portable format; (2) request deletion of your personal information; and (3) request correction of inaccurate personal information. You can request access to, or correction or deletion of, your personal information by contacting us as detailed in the “Contact Us” section below. We may verify your request by asking you to verify your email address or provide information related to your recent interactions with us. 

Opting Out of Sales, Sharing, and Targeted Advertising. You also have the right to opt out of “sharing,” “sales,” and use of your personal information for “targeted advertising”. If you wish to stop receiving marketing communications, please follow the “unsubscribe” instructions included in the marketing communication or contact [email protected]. You can remove persistent cookies by following directions provided in your Internet browser’s “help” directory. Note that you will need to renew this opt-out choice if you visit our website from another device or browser or if you clear your cookies because your opt-out choice will be linked to your browser only. 

Nondiscrimination. We will not discriminate against you for exercising your privacy rights. 

Authorized Agents. You can designate an authorized agent to make a privacy rights request on your behalf in certain circumstances. Agiloft may ask authorized agents to submit proof of their authority to make a request, such as proof that the agent has signed permission from the individual who is the subject of the request. In some cases, we may contact the consumer to verify their identity or confirm the authorized agent has permission to submit the request. If you are an authorized agent seeking to make a request, please complete this form. 

Appeals. If Agiloft denies your request, you may appeal our decision by contacting us as set forth in the Contact Us section below. If you have concerns about the results of an appeal, you may contact the attorney general in the state where you reside. 

Notice of Financial Incentives 

We may provide discounts, rewards, exclusive offers, or other benefits to individuals who participate in a promotional campaign. These offerings may constitute “financial incentives” or “bona fide loyalty programs” under certain state privacy laws (for simplicity, we refer to these collectively as “financial incentives”). If you decide to participate in a financial incentive, we collect personal information from you, such as identifiers (like your name and email address), commercial information (like information about purchases you have made), and inferences. We may disclose this information to our service providers, contractors, and consultants who perform services on our behalf and to our marketing and advertising partners, including for the purpose of engaging in targeted advertising and other marketing activities. You can opt into a financial incentive by following the sign-up or participation instructions provided, and you have the ability to opt-out at any time by following the instructions set forth in the applicable promotional campaign or by contacting us as set forth in the “Contact Us” section below. If you request that we delete any of your personal information that is essential to providing you with the financial incentive, we will not be able to provide you with the benefits of that program. In some cases, we may provide additional terms and conditions, which we will provide to you when you sign up. The value of your personal information is reasonably related to the value of the offer or discount presented to you. 

Changes to this Privacy Notice 

We may change this Privacy Notice from time to time so it accurately reflects our practices, our services, and legal requirements. The “Last Modified” section at the top of this page states when this Privacy Notice was last amended and we update this date each time a revision is posted.
