Agiloft Reseller Agreement

This Agiloft Reseller Partner Agreement (“Agreement”)between Agiloft, Inc. (“Agiloft”) and the person or entity identified inthe signature box below (“Reseller”), is effective as of the date of thelast signature below (“Effective Date”). Agiloft or Services Resellermay be referred to individually as a “Party” or collectively as the “Parties”.

This Agreement is accepted and agreed to by theauthorized representative of each Party:

1.DEFINITIONS

“Agiloft Marks” mean Agiloft’s trade names, service marks,trademarks, logos, and indicia of origin and other branding features.

“AgiloftServices Agreement” means the online Agiloft Services Agreement, which maybe updated from time to time (https://www.agiloft.com/terms-policies/services-agreement/).  

“Agiloft Technology” means the Product, SubscriptionServices and Agiloft Marks.

“End User” means thecustomer purchasing the Subscription Services from Reseller for its owninternal use and not for resale to a third party.

“Terms of Use” or “TOU” means the Terms of Use Agreementavailable at: https://www.agiloft.com/terms-policies/reseller-terms-of-use/

“End User Order” meansone or more ordering documents between Reseller and End User for the purchaseof the Subscription Services or Product.

“Force Majeure Event” means an event beyond a Party’sreasonable control, such as a strike, blockade, war, pandemic, act ofterrorism, riot, third-party Internet or utility failure, widespread,non-targeted denial of service
